1. Who we are

OnComp is a trading name of OnComp Ltd, a company registered in England and Wales (company number 10964904). Our registered office is at 95a Cheriton Road, Folkestone, Kent, CT20 2QL, United Kingdom. You can contact us at [email protected].

2. Agreement

By accessing oncomp.co.uk ("the Website") or engaging OnComp Ltd ("we", "us", "our") for services, you ("you", "the Client") agree to these terms. If you do not agree, please do not use our website or services.

These terms apply to your use of the Website and form the general basis for any service engagement. Individual projects are governed by a separate statement of work (SOW) agreed in writing before work begins. Where the SOW conflicts with these terms, the SOW takes precedence.

3. Our services

OnComp provides brand strategy, AI consultancy and automation, web development, AIO (AI Optimisation), and managed IT support services. All project work is scoped and priced in a written SOW before work begins.

Quotes, estimates, and indicative pricing displayed on our website or generated by our interactive tools (including calculators and scope builders) are for guidance only and do not constitute a binding offer. Final pricing is confirmed in the signed SOW.

4. How contracts are formed

A binding contract for services is formed when both parties sign a SOW (which may be by electronic signature or email confirmation). Until a SOW is signed, either party may withdraw without obligation.

5. Service standards

We will perform all services with reasonable care and skill, in accordance with the Consumer Rights Act 2015. Where we provide a timeframe for delivery, we will use reasonable efforts to meet it, but time shall not be of the essence unless expressly stated in the SOW.

If we fail to perform a service with reasonable care and skill, you are entitled to require us to re-perform the service at no additional cost. If re-performance is not possible or cannot be done within a reasonable time, you may be entitled to a price reduction.

6. Pricing and payment

All prices are quoted in pounds sterling (GBP) and are exclusive of VAT unless otherwise stated.

Standard payment terms are 50% deposit before work begins, with the remaining 50% due on completion and delivery. Managed support plans are billed monthly in advance. Alternative payment schedules may be agreed in the SOW.

Late payments may incur interest at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. We may also claim reasonable recovery costs.

7. Your right to cancel (consumer contracts)

If you are a consumer (an individual acting outside your trade, business, or profession), you have the right to cancel a service contract within 14 days of the contract being formed, without giving a reason. This is your statutory right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

To exercise this right, contact us at [email protected] with a clear statement of your decision to cancel. We will reimburse all payments received within 14 days of receiving your cancellation notice.

If you request that work begins during the 14-day cancellation period, you agree to pay for any services already provided up to the point of cancellation.

8. Cancellation (business contracts)

Project work may be cancelled by either party with 14 days' written notice. Any work completed up to the cancellation date will be invoiced at the agreed rate. Deposits are non-refundable once work has commenced.

Managed support plans may be cancelled with 30 days' notice. No refunds are issued for partial months.

9. Intellectual property

All content on this website — including text, design, code, and graphics — is the property of OnComp Ltd unless otherwise stated. You may not reproduce, distribute, or create derivative works from our website content without our written permission.

For client projects: upon full payment of all fees, you receive full ownership of all bespoke deliverables as specified in your SOW. We retain ownership of any pre-existing tools, frameworks, libraries, or reusable components used in your project, and grant you an irrevocable, royalty-free licence to use them as part of your deliverables.

We retain the right to showcase completed work in our portfolio and marketing materials unless you request otherwise in writing before the project begins.

10. Limitation of liability

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

Subject to the above, our total liability for any claim arising from our services shall not exceed the total fees paid by you for the specific service in question during the 12 months preceding the claim.

We are not liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of revenue, profit, data, business opportunity, or goodwill.

These limitations apply whether the claim is based in contract, tort (including negligence), breach of statutory duty, or otherwise.

11. Your statutory rights

Nothing in these terms affects your statutory rights as a consumer under the Consumer Rights Act 2015 or any other applicable legislation. Where these terms conflict with your statutory rights, your statutory rights prevail.

12. Confidentiality

Both parties agree to keep confidential any proprietary, commercial, or sensitive information shared during the engagement. This includes business plans, technical specifications, pricing, and customer data. This obligation survives the termination of the agreement for a period of two years.

13. Data protection

We process personal data in accordance with our Privacy Policy, the UK General Data Protection Regulation (UK GDPR), and the Data Protection Act 2018. Where we process personal data on your behalf as part of a service engagement, we will enter into a data processing agreement as required by law.

14. Acceptable use

You may use our website for lawful purposes only. You must not use the Website in any way that breaches any applicable law or regulation, is fraudulent, or is harmful to any third party. You must not attempt to gain unauthorised access to any part of the Website, the server on which it is stored, or any server, computer, or database connected to it.

15. Third-party links

Our website may contain links to third-party websites. These links are provided for convenience only. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them.

16. Force majeure

Neither party shall be liable for any failure or delay in performing their obligations where such failure or delay results from circumstances beyond that party's reasonable control, including but not limited to natural disasters, pandemic, war, terrorism, cyberattack, power failure, internet or telecommunications failure, government action, or industrial action. The affected party must notify the other party as soon as reasonably practicable.

17. Dispute resolution

If a dispute arises, we encourage you to contact us first at [email protected] so we can try to resolve it informally. If we cannot resolve the matter between us, either party may refer the dispute to mediation before taking court action. Nothing in this clause prevents either party from seeking urgent injunctive relief.

18. Governing law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

19. Changes to these terms

We may update these terms from time to time. The "last updated" date at the top of this page will be revised accordingly. Significant changes will be communicated to active clients. Continued use of our website after changes are posted constitutes acceptance of the updated terms. Changes do not affect any SOW already signed.
